Terms of Service

1. Acceptance of Terms

By accessing or using Equish ("Service") at equish.in, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service. We reserve the right to modify these Terms at any time, and your continued use constitutes acceptance of any changes.

2. Description of Service

Equish is a platform that enables users to gift equity in the form of GoldBees ETF units. The Service facilitates:

• Creation of gift transactions with security questions
• Secure payment processing through Cashfree
• Escrow holding of funds until gift claim
• Integration with Zerodha for GoldBees ETF purchases
• Digital gift certificates and notifications

3. Eligibility

To use our Service, you must:

• Be at least 18 years of age
• Be a resident of India
• Have a valid PAN card
• Have a bank account in your name
• Have a Zerodha demat account (for receiving gifts)
• Provide accurate and complete registration information

4. Account Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Provide accurate, current, and complete information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access
• Not share your account with others

5. Gift Transactions

5.1 Creating Gifts

When creating a gift, you agree that:

• The funds used are from legitimate sources
• You are authorized to make the payment
• The security question and answer are your responsibility
• Gifts once paid cannot be cancelled or refunded except as per our refund policy

5.2 Claiming Gifts

To claim a gift, the recipient must:

• Correctly answer the security question
• Have a registered account with valid KYC
• Have a linked Zerodha account for receiving GoldBees

5.3 Escrow

Funds for gifts are held in escrow until claimed. Unclaimed gifts will be held for a period of 12 months, after which they may be refunded to the sender minus applicable fees, or forfeited as per applicable laws.

6. Fees and Payments

Our fee structure includes:

• Platform Fee: A percentage of the gift amount (displayed at checkout)
• Payment Gateway Fees: As charged by Cashfree
• Brokerage: Standard Zerodha charges for ETF purchases

All fees will be clearly displayed before you confirm any transaction.

7. Refund Policy

Refunds may be issued in the following cases:

• Failed transactions due to technical errors on our part
• Duplicate payments
• Unclaimed gifts after 12 months (subject to fees)

Refund requests must be submitted within 30 days of the transaction. Processing time is typically 5-7 business days.

8. Prohibited Activities

You agree not to:

• Use the Service for money laundering or illegal activities
• Provide false or misleading information
• Attempt to circumvent security measures
• Use automated systems to access the Service
• Interfere with the proper functioning of the Service
• Violate any applicable laws or regulations
• Use the Service to harass or harm others

9. Intellectual Property

All content, features, and functionality of the Service, including but not limited to text, graphics, logos, and software, are the exclusive property of Equish and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

10. Third-Party Services

Our Service integrates with third-party services including:

• Cashfree: For payment processing (subject to Cashfree's terms)
• Zerodha: For brokerage services (subject to Zerodha's terms)

We are not responsible for the actions or policies of these third-party services.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. INVESTMENT IN GOLDBEES ETF CARRIES MARKET RISKS, AND PAST PERFORMANCE IS NOT INDICATIVE OF FUTURE RESULTS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EQUISH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless Equish, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

14. Termination

We may suspend or terminate your account at any time for violation of these Terms or for any other reason at our sole discretion. Upon termination, your right to use the Service will immediately cease. Provisions that by their nature should survive termination shall survive.

15. Governing Law and Disputes

These Terms shall be governed by the laws of India. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka, India. Before initiating legal proceedings, parties agree to attempt resolution through good-faith negotiations.
